Terms of Service

These Terms of Service ("Terms") govern your use of the Yo.City platform and services. By using our platform, you agree to these Terms. If you are using Yo.City on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Overview of Services

Yo.City provides a platform that enables chambers of commerce, economic development corporations, tourism bureaus, and similar organizations ("Organizations") to create and manage branded prepaid gift card programs. Our services include:

  • Card design and branding tools
  • Card issuance and management through our partner Lithic
  • Merchant restriction controls
  • Administrative dashboard for Organizations
  • Balance check and reload capabilities for cardholders

2. Account Registration

To use our platform as an Organization, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3. Fees and Payment

For Organizations

  • Per-card fee: A fee is charged when cards are activated. Current pricing is available on our Pricing page.
  • No setup fees: Account creation is free.
  • No monthly fees: You only pay for cards you activate.
  • Account funding: Organizations fund their master balance via ACH transfer. Card activations draw from this balance.

For Cardholders

  • No fees: Cardholders receive the full face value of their gift cards. We do not charge activation, maintenance, or transaction fees to cardholders.

4. Gift Card Terms

Expiration

Standard gift cards expire three (3) years from the date of activation unless a shorter expiration period is set by the Organization for event-specific cards. Expiration terms comply with applicable state and federal laws.

Expired Funds

When a card expires with a remaining balance, those funds return to the Organization's master balance. Organizations may, at their discretion, reissue funds to cardholders who contact them.

Merchant Restrictions

Cards may only be used at merchants approved by the Organization. Transactions at non-approved merchants will be declined. Organizations are responsible for maintaining their approved merchant list.

No Cash Redemption

Gift cards cannot be redeemed for cash except where required by law.

5. Acceptable Use

You agree not to:

  • Use the platform for any illegal purpose
  • Engage in fraudulent activities
  • Attempt to circumvent security measures
  • Interfere with the operation of the platform
  • Upload malicious code or content
  • Violate the rights of others
  • Resell or redistribute our services without authorization

6. Intellectual Property

The Yo.City platform, including its design, features, and content, is owned by Yo.City and protected by intellectual property laws. Organizations retain ownership of their branding assets uploaded to the platform and grant us a license to use those assets to provide our services.

7. Third-Party Services

Our platform integrates with third-party services, including Lithic for card issuance and payment networks (Visa/Mastercard). Your use of these services is subject to their respective terms. We are not responsible for third-party services.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YO.CITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

Organizations agree to indemnify and hold harmless Yo.City from any claims, damages, or expenses arising from their use of the platform, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Organizations must honor all outstanding gift card balances
  • Remaining master balance funds will be returned to the Organization, less any outstanding fees
  • Card functionality will be disabled after a reasonable wind-down period

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Your continued use of our services after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
